Terms of Service

1. Acceptance of terms

By creating a project, accepting a sharing invitation, using any AI assistant, or accessing Capitalize Biz in any manner, you agree to these Terms and all referenced policies, including our Privacy Policy. If you are using the platform on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Eligibility

Capitalize Biz is designed for professional use by business owners, operators, advisors, buyers, and sellers who are at least 18 years of age. We may request additional details — such as business entity information or proof of authorization — to maintain a secure environment for all parties.

3. Platform description

Capitalize Biz is a business valuation platform that enables you to:

• Enter business information — basic details, operational data, facility information, buy/sell context, and supporting documents.
• Input financial data — Profit & Loss statements, Balance Sheets, Cash Flow statements, and Income History across multiple fiscal years.
• Receive specific insights — industry-specific features, risk factors, and growth indicators tailored to your exact business type.
• Generate a Fair Market Value (FMV) — calculated in real time using EBITDA-based methodologies, industry multiples, and proprietary normalization algorithms.
• Produce valuation reports — professional, shareable reports with automated narrative insights, key findings, growth potential analysis, and risk assessments.
• Create action plans — strategic recommendations derived from your valuation data to improve business value before a sale or investment round.
• Collaborate — invite teammates, advisors, or prospective buyers to view or co-manage a project through the Share panel.
• Interact with AI assistants — Sienna (chat) and Hamsa (voice) provide on-demand explanations of your financial data, valuation drivers, and report findings.

4. Account security

You are responsible for safeguarding your login credentials and restricting access to trusted collaborators. Notify us immediately if you suspect unauthorized activity. Sessions that appear compromised may be automatically expired for your protection. We reserve the right to suspend or terminate accounts that jeopardize platform security or disrupt other users.

5. Acceptable use

You agree to use Capitalize Biz only to evaluate, operate, or transact businesses you own or are authorized to represent. You may not:

• Upload unlawful, fraudulent, or misleading financial data.
• Interfere with platform performance, including the AI assistants or autosave systems.
• Reverse engineer, decompile, or extract source code from the software.
• Attempt to access restricted features, other users' projects, or administrative endpoints without permission.
• Use AI-generated outputs to misrepresent the value of a business to third parties.

6. Financial data & AI outputs

You are solely responsible for the accuracy and completeness of all financial data you enter into the platform, including Profit & Loss statements, Balance Sheets, Cash Flow statements, and Income History. The platform normalizes, adjusts, and analyzes this data using automated algorithms and AI models to produce valuations, charts, and narrative insights.

AI outputs are informational only. Sienna (chat) and Hamsa (voice) generate explanations, summaries, and recommendations based on the data you provide. These outputs do not constitute legal, tax, accounting, or investment advice. You should consult qualified professionals before making material business decisions based on any platform output.

7. Data, privacy & cloud synchronization

We store your project data — business information, financial statements, AI interactions, valuation results, and generated reports — on secure cloud infrastructure so your team can collaborate and access work across devices. Our Privacy Policy explains how we collect, process, and retain this information.

By using the platform you consent to this data handling and acknowledge that you are responsible for obtaining any third-party consents required to share their information. If you prefer maximum data privacy, you can disable cloud data synchronization in System Settings; however, doing so will limit collaboration and certain AI-powered features.

8. Sharing & collaboration

The Share panel allows you to invite collaborators — such as co-owners, advisors, or prospective buyers — to view or contribute to your project. You control who has access and can revoke permissions at any time. You are responsible for ensuring that anyone you invite is authorized to view the financial and business data contained in your project. Capitalize Biz is not liable for disclosures that result from sharing permissions you grant.

9. Valuation reports & action plans

The platform generates valuation reports (including live and PDF formats) and strategic action plans based on the data you provide. These documents are produced using automated analysis and AI-generated narratives. While we strive for accuracy, reports reflect the quality of the input data and the assumptions embedded in our models. Reports are intended for informational and negotiation-support purposes and should not be treated as certified appraisals or audited financial statements.

10. Pricing & subscriptions

Core valuation features — including FMV calculation, EBITDA bridge analysis, and report generation — are provided free of charge. If premium features, expanded capabilities, or advisory services are introduced, fees will be clearly disclosed before purchase. Payments for premium services are non-refundable unless otherwise required by law. Late or failed payments may result in downgraded access until the balance is resolved.

11. Intellectual property

Swan Sprints LLC retains all rights to the Capitalize Biz software, user interface, designs, logos, valuation methodologies, AI models, industry benchmark databases, and underlying algorithms. You retain full ownership of the business data and financial information you upload. By using the platform, you grant us a limited, non-exclusive license to host, process, analyze, and display that content solely for the purpose of providing and improving the service.

12. Confidentiality

We treat all project data — including financial statements, valuation results, AI conversations, and report contents — as confidential. We will not share your data with anyone other than team members you designate, except when legally required or necessary to protect the security of the platform. You agree to keep any proprietary information we disclose — such as roadmap previews, unreleased features, or beta functionality — confidential as well.

13. Disclaimers & limitation of liability

Capitalize Biz accelerates valuation, diligence, and strategic planning work but does not replace legal, tax, accounting, or investment advice. The platform, including all AI-generated content, is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.

To the fullest extent permitted by law, Swan Sprints LLC's aggregate liability for any claims arising from your use of the platform is limited to the fees you paid (if any) for the service in the twelve months preceding the claim. We are not liable for decisions made based on AI outputs, valuation estimates, or report narratives.

14. Indemnification

You agree to indemnify and hold harmless Swan Sprints LLC, its officers, employees, and affiliates from any claims, damages, or expenses arising from: (a) your use of the platform, (b) financial data you upload, (c) your violation of these Terms, or (d) your infringement of any third-party rights.

15. Term, suspension & termination

These Terms remain in effect for as long as you maintain an active account or project on the platform. We may suspend or terminate access if you breach these Terms, jeopardize platform security, upload fraudulent data, or fail to pay outstanding invoices for premium services. You may close your account at any time through System Settings or by contacting support. Upon termination, you may request an export of your data, subject to technical feasibility, within 30 days.

16. Governing law & dispute resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any disputes arising from these Terms or your use of the platform shall be resolved through binding arbitration administered in Dover, Delaware, unless both parties agree to an alternative venue.

17. Updates to these terms

We may update these Terms to reflect new features, changes to AI capabilities, or legal requirements. When changes are material, we will notify project owners by email or in-app message at least 14 days before the changes take effect. Continued use of the platform after updates become effective constitutes acceptance of the revised Terms.
